2. IP ownership overreach Look for: "All work product created by Vendor shall be the property of Client" Red flag: Includes your pre-existing IP, tools, or frameworks. Fix: Carve-out clause for pre-existing IP.

3. Indemnification scope Look for: Broad indemnification that makes you responsible for third-party claims Red flag: Indemnifying them for claims unrelated to your actual service

4. Termination for convenience Look for: "Client may terminate with [X] days notice" Red flag: Notice period <30 days, or termination triggers full fee repayment obligations

Negotiation Strategy for a 22-Person Company:

Don't redline everything — pick your top 3-5 issues
Frame requests as risk management: "We need a liability cap tied to contract value to maintain appropriate insurance coverage"

The business problem with real numbers ("You're currently spending X hours on Y process")
The cost of inaction ("At current rates, this represents $Z in annual cost/risk")
Their stated timeline and urgency

Section 2 — The ROI Case Before the price comparison becomes relevant, establish value:

Expected outcomes from similar companies:
• [Company type like them] reduced [metric] by [%] in [timeframe]
• Implementation time: [X weeks] vs. industry average [Y weeks]
• Support included during migration vs. [competitor's additional cost model]

If a 30% price difference = $25K, you need to show $25K+ of additional value clearly.

Section 3 — The Scope Be explicit about what's included that the competitor doesn't include:

Implementation support hours
Data migration assistance
Dedicated CSM vs. shared support queue
SLA terms and uptime guarantees

If the $25K gap is explained by included services they'd pay extra for anyway, the math often changes.

Section 4 — Risk Comparison One paragraph. What's the cost of choosing wrong — a failed implementation, a migration in 18 months, a support gap at a critical moment?

What NOT to do: Don't discount without a scope change. "We can do $78K" without removing scope signals you weren't serious about your original price.
