2. IP ownership overreach Look for: "All work product created by Vendor shall be the property of Client" Red flag: Includes your pre-existing IP, tools, or frameworks. Fix: Carve-out clause for pre-existing IP.
3. Indemnification scope Look for: Broad indemnification that makes you responsible for third-party claims Red flag: Indemnifying them for claims unrelated to your actual service
4. Termination for convenience Look for: "Client may terminate with [X] days notice" Red flag: Notice period <30 days, or termination triggers full fee repayment obligations
Negotiation Strategy for a 22-Person Company:
- Don't redline everything — pick your top 3-5 issues
- Frame requests as risk management: "We need a liability cap tied to contract value to maintain appropriate insurance coverage"
- At $120K, you have meaningful negotiating power — use it
Practical next step: Hire a startup-friendly commercial attorney for a 2-hour review ($400-800). The ROI on a $120K deal is obvious. Do not sign without one for a contract this size.
