A competitor has approached us about acquisition. They're at ~$800K ARR, 60 customers, 8 employees. We're at $3.2M ARR. Their product overlaps 40% with ours but they have strong presence in the healthcare vertical we've been trying to crack. Asking price is $4M. How do I evaluate this?

Agent

This is a classic tuck-in acquisition with a vertical access thesis. Let's evaluate it rigorously.

Valuation Assessment:

  • Asking: $4M = 5x ARR multiple
  • Market context: B2B SaaS tuck-ins typically trade at 3-7x ARR depending on growth rate, NRR, and strategic fit
  • At $800K ARR with 60 customers, their ACV is ~$13K
  • Key question: Is the $800K growing or shrinking? A declining $800K at 5x is a bad deal; a growing one at 5x may be reasonable

Due Diligence Framework (30 days):

Week 1 — Strategic fit:

  • Map their 60 customers: how many are in healthcare? What are their ACVs?
  • Interview 5 of their customers (with permission): why did they choose this product? Would they renew with you?
  • Product overlap analysis: which 40% overlaps, and who has the stronger solution in that overlap?

Week 2 — Financial:

  • NRR (is healthcare a sticky vertical?)
  • Customer churn by cohort — healthcare has high switching costs which should show in retention
  • Revenue concentration: do 5 customers = 60% of ARR? That's a deal-breaker risk.
  • Gross margin and any one-time revenue included in the $800K

Week 3 — Team and tech:

  • Are the 8 employees staying? What's the retention offer?
  • Technical architecture: can you integrate the product in 6 months, or is it a 2-year migration?

The real question: What's your CAC into healthcare today? If you've been spending 18 months trying to crack it, what's that cost vs. $4M for a ready-made foothold?
